Strengthening Governance Integrity: Atty. Euney Marie Mata Perez’s Insights on Related Party Transactions and Conflicts of Interest Governance Integrity

Last September 28, 2026, our Managing Partner, Atty. Euney Marie Mata Perez, had the opportunity to speak in front of the Board and Key Management Officers of Puregold Group of Companies with her lecture titled. “Related Party Transactions, Conflicts of Interest Governance Integrity” at Acacia Hotel in Muntinlupa City.

Her 1-hour lecture discussed related party transactions and their key risks. A related party transaction(RPT) is a deal between parties with a preexisting business relationship, which can pose conflicts of interest. Related party transactions can be a fundamental tool for corporate efficiency when managed properly.

Related party transactions pose risks such as conflicts of interest, unfair pricing, fraud and regulatory penalties. These may result in personal gain at the expense of shareholders, misuse of company funds, misleading financial reports and legal consequences for non-compliance.

She also enumerated examples of related parties such as stockholders, directors, senior officers and their spouses and relatives. The corporation’s parent corporation and entities in the group owned and/or controlled directly or indirectly by the parent corporation can be also considered as related parties.

She referenced various SEC issuances and jurisprudence to provide better insights to the attendees. She explained the relevant legal principles and regulatory requirements to help clarify their practical application. This enabled the attendees to gain a better understanding of related party transactions, conflicts of interest and corporate integrity.

Ultimately, the lecture emphasized that transparency, accountability, and ethical conduct are essential to managing related party transactions and upholding integrity in corporate governance. We would like to thank Dr. Henry Belleza Aquende, MBM, Founder and President of Center for Global Best Practices (CGBP) and his employees for this wonderful opportunity.
